1Definitions

  • WorkForce-NL: based at Harmoniestraat 15, 1951 AV Velsen-Noord, KvK 85520071, VAT NL004109019B55.
  • Client: the company or institution that uses the placement services of WorkForce-NL.
  • Professional or freelancer: the self-employed person who carries out an assignment via WorkForce-NL.
  • Assignment: the work that a Professional carries out for a Client.
  • Placement: the services of WorkForce-NL by which it brings Client and Professional into contact with each other.
  • Back-office partner: the party that handles payouts and invoicing on behalf of WorkForce-NL, such as JEX.

2Applicability

These terms apply to all offers, proposals, agreements and services of WorkForce-NL. Deviations only apply if agreed in writing. General terms and conditions of the Client or the Professional do not apply, unless WorkForce-NL has accepted them in writing.

3Nature of our services

WorkForce-NL mediates between Clients and independent Professionals. WorkForce-NL is not the employer of the Professional and not a temporary employment agency. The Professional works as an independent entrepreneur, at his own account and risk.

WorkForce-NL does its best to find suitable Professionals and Assignments. It gives no guarantee that a placement leads to an Assignment, or that an Assignment delivers a particular result.

4Payout and agreement with JEX

Payouts and invoicing for Professionals run through our back-office partner JEX. For this, the Professional enters into an agreement with JEX. JEX's general terms and conditions apply to that agreement.

JEX general terms and conditions

These WorkForce-NL terms cover our intermediary services. They do not affect JEX's terms and conditions.

5Proposals

Viewing proposals and submitting a search request is non-binding and free of charge. A proposal with the profile of a Professional is 14 days valid, unless stated otherwise. The profile in a proposal is intended for the Client who receives the proposal and may not be forwarded to third parties.

6Formation of the Assignment

An Assignment comes into being when Client and Professional confirm the agreements in writing, for example through the contract drawn up by the Back-office partner. Before the work starts, at least the activities, the duration, the location and the rate are recorded.

7Independence and the Wet DBA

Client and Professional set up the cooperation in such a way that there is no relationship of authority or employment, in accordance with the laws and regulations for assessing the employment relationship (Wet DBA). The Professional determines how he carries out the work, may arrange for a substitute if the Assignment allows it and carries out the Assignment at his own account and risk.

8Obligations of the Professional

  • The Professional is registered with the Chamber of Commerce and has a valid KvK number.
  • The Professional provides correct and complete information about his experience, certificates and availability, and informs WorkForce-NL immediately if anything changes.
  • The Professional holds the valid certificates and diplomas required for the Assignment.
  • The Professional has the insurance that fits his work, such as a professional or business liability insurance.
  • The Professional complies with the safety rules and regulations at the Client’s location.

9Obligations of the Client

The Client gives a clear description of the Assignment and of the requirements for the Professional in advance, ensures a safe workplace and the access and facilities needed for the Assignment, and approves the hours in good time.

10Rates and fees

The rates are agreed in writing in advance. The fee of WorkForce-NL for its placement is agreed in advance with the Client and is visible in the proposal or the agreement. All amounts mentioned are exclusive of VAT, unless stated otherwise.

11Hours, invoicing and payment

Hours worked are recorded and approved by the Client. The Back-office partner takes care of invoicing and payouts.

The payment term for Clients is laid down in the agreements with our back-office partner JEX. The Professional receives payment within 7, 14 or 30 days after processing of the approved hours, depending on the agreement. The payout is in effect pre-financing of the Professional’s invoice. For payout within 7 days a fee of € 1 per hour worked applies, for payout within 14 days € 0.50 per hour worked; payout within 30 days is free of charge. In case of late payment the Client is in default without notice of default and owes the statutory commercial interest, plus the reasonable collection costs.

12Working together directly

When WorkForce-NL has proposed a Professional to a Client, the Client will not engage that Professional outside WorkForce-NL for the same or a comparable assignment during 6 months after the proposal, unless the parties agree otherwise in writing in advance. The same applies to the Professional. If this nevertheless happens, a fee is owed to WorkForce-NL of one times the placement fee.

13Confidentiality

The parties keep confidential information that they receive from each other or via WorkForce-NL secret and use it only for the purpose for which it was provided. This also remains in force after the end of the Assignment.

14Liability

WorkForce-NL is not liable for the performance of the Assignment, for the acts or omissions of the Professional or the Client, or for damage resulting therefrom.

Insofar as WorkForce-NL is nevertheless liable, its liability is limited to the amount of the fee it received for the placement concerned, with a maximum of € 10,000. This limitation does not apply in case of intent or deliberate recklessness on the part of WorkForce-NL, nor insofar as the law does not permit it.

15Force majeure

If WorkForce-NL cannot meet its obligations due to force majeure, such as illness, system failures or circumstances beyond its control, performance is suspended for as long as the situation lasts.

16Personal data

We handle personal data with care. In our privacy statement it states how we do that.

17Amendment of the terms

WorkForce-NL may amend these terms. The version that applies is the version that was in force when the agreement was concluded. Last amended: 10 October 2026.

18Applicable law and disputes

Dutch law applies to all agreements. Disputes are submitted to the competent court in the district of Noord-Holland. The parties first try to resolve a dispute through consultation.
